Information Cooperation Agreement
(Offer Agreement)
This document is an offer from FIT Autoservice, Limited Liability Company (hereinafter referred to as the "Organizer"), addressed to the Media (hereinafter referred to as the "Media") to conclude an Information Cooperation Agreement (hereinafter referred to as the "Agreement") regarding information cooperation on the Internet in accordance with the objectives and subject matter set out in this Agreement.


1. Purpose and object of the Agreement

1.1. The purpose and object of cooperation of the Parties under the Agreement is mutually beneficial information cooperation and interaction between the Parties on the exchange of information concerning the first international conference on the car service market - Auto business international conf 2021 located at the e-address https://autoconf.org/ ((hereinafter referred to as the "Conference").

1.2. Within the framework of this Agreement, the Parties have agreed on informational coverage of the activities of the Organizer and the Conference in Internet Media resources.

1.3. Information coverage of the Organizer and the Conference shall be provided through the Media.

1.4. This Agreement does not imply any financial relationship or settlement between the Parties pursuant to or in connection with the performance of the arrangements made in the Agreement.


2. Obligations of the Parties to the Agreement

2.1. The Parties undertake the following:

2.1.1. Organize a regular and rapid exchange of information material by email.

2.2. The Organizer undertakes the following:

2.2.1. Provide the Media with information materials covering the activities of the Organizer and the Conference by exchanging emails.

2.2.2. Approve in a timely manner the information materials prepared for placement in the information resource.

2.2.3. Provide exclusive market analyses for 4 countries (Russia, China, Germany, USA) prior to public disclosure.

2.2.4. Provide key messages and conclusions from the Conference speakers before they are made public.

2.2.5. The logo and active link will be placed on the conference website in the Media partners block.

2.2.6. Placement of the logo on the participant registration form.

2.2.7. If requested by the Media, provide exclusive commentary from the Conference speakers.

2.2.8. Placement of the Media logo on all electronic Media and advertising campaigns of the Conference with the Media partner status.

2.3. The Media undertakes the following::

2.3.1. Carry out all the necessary work to prepare the materials received from the Organizer for the Media publication:

2.3.1.1 Publication of the conference announcement on the home page of the Internet Media resource and in the social networks of the Internet Media;

2.3.1.2 Publication of at least 3 news press releases about the Conference on the Internet Media resource;

2.3.1.3 Placement of an advertising banner with an active link on an Internet Media resource on the Conference website;

2.3.1.4 Sending out e-mail letters to a database of Media readers and partners inviting them to participate in the Conference (if such a database exists);

2.3.1.5 Publication of the final report of the Conference on the Internet Media;

2.3.2. Just before placing materials in the Internet Media, to coordinate them via e-mail with the Organizer.

2.3.3. To post materials produced by the Organizer and the Conference on the Internet Media covering the activities of the Organizer and the Conference.


3. Liability of the Parties

3.1. The Organizer guarantees that the information materials covering the activities of the Organizer and the Conference comply with the requirements of the current legislation of the Russian Federation.

3.2. The Media guarantees that the information services provided are in accordance with the content and design requirements of current Russian legislation.

3.3. The Parties shall be relieved from liability for the partial or total failure to fulfill their obligations under this Agreement if it is the result of force majeure circumstances that have arisen after the conclusion of the Agreement, which the Parties could neither foresee nor prevent by reasonable measures or acts of an extraordinary nature.


4. Time of conclusion of the Agreement

4.1 This Agreement shall be deemed to have been concluded and shall come into force when the Media sends a confirmation by email with the following text: "I agree to become an information partner").

4.2 The Media's compliance with the terms and conditions set out in Cl. 4.1. means that the Media agrees to the terms of the Agreement in full.

4.3. Under Article 438(3) of the Russian Civil Code, the acceptance of an offer by a person who has received it within the time limit set for its acceptance is deemed to be its acceptance.


5. Dispute resolution and termination

5.1 The Agreement may be terminated at any time on the basis of mutual consent between the Parties or unilaterally by giving five (5) calendar days' notice to the other Party.

5.2. All disputes and disagreements arising from the performance of the Agreement shall be settled by the Parties by negotiation. If any differences or disputes cannot be resolved by negotiation, the Parties shall refer them to the Arbitration Court of the Novosibirsk Region.

5.3. The Agreement shall be governed by and construed in accordance with the laws of the Russian Federation.

5.4. The invalidity and/or unenforceability for any reason of any term of this Agreement shall not affect the validity and/or enforceability of its other terms.


6. Miscellaneous:

6.1. The current version of this Agreement is posted by the Organizer on the Internet at: https://autoconf.org/.

6.2. The Organizer has the right to unilaterally modify the terms and conditions of this Agreement, as well as its integral parts, by publishing on the Internet at: https://autoconf.org/ the new version or the modifications made. The changes will come into force as soon as they have been published on the Internet at: https://autoconf.org/. The Media undertakes to familiarise themselves with the new version of the Agreement on a regular basis and to abide by its rules and regulations.

FIT SERVICE Company respects the right to privacy and takes great care to safeguard the information provided by users.

The Privacy Policy of Personal Information (hereinafter referred to as "Policy") applies to all information which FIT AUTOSERVICE, LLC and/or its affiliates, including all persons belonging to the same group as FIT AUTOSERVICE, LLC (hereinafter referred to as "Fitservice"), may receive information about the User when the User benefits from any of Fitservice's websites, services, programs, products or services (hereinafter referred to as "Services") and in the course of fulfillment of any agreements or contracts with the User. The User's consent to the Policy, expressed as part of the relationship with one of the listed persons, extends to all other listed persons.

By using the Fitservice, you agree to the terms of this Policy in full.


1. Personal information of Users processed by Fitservice

1.1. For the purposes of this Policy, "User Personal Information" means:

1.1.1. Personal information provided by the User during registration (account creation) or while using the Services, including personal data of the User (surname, first name, patronymic, contact telephone number, e-mail address, date of birth, sex, car brand, VIN number). The information required for the provision of Services is specifically marked. Other information is provided by the User at their discretion.

1.1.2. The data which are automatically transmitted to the Services of Fitservice in the process of their use through the software installed on the User's device, including the IP address, cookie file data, information about the User's browser (or other software through which the User accesses the Services), technical characteristics of the User's hardware and software, date and time of access to the Services, addresses of requested pages and other similar information.

1.1.3. Other information about the User, the processing of which is stipulated by the terms of use of Fitservice individual Services.

1.2. This Policy only applies to information processed in the course of your use of Fitservice Services. Fitservice does not control and is not responsible for the processing of information by third-party websites that the User can access via links available on Fitservice websites.

1.3. Fitservice does not verify the accuracy of the personal information provided by the User and has no means of assessing the User's competence. However, Fitservice assumes that the User provides correct and sufficient personal information and keeps this information up to date.


2. Purposes of processing Users' personal information

2.1. Fitservice collects and stores only the personal information that is necessary to provide the Services or perform agreements and contracts with the User, except where the law provides for the mandatory storage of personal information for a period determined by law.

2.2. The personal information of the User is processed by Fitservice for the following purposes:

2.2.1. Identification of the party under the Services, agreements,, and contracts with Fitservice;

2.2.2. Provision of personalized Services to the User and performance of agreements and contracts;

2.2.3. Communication with the User, including sending notices, requests, and information regarding the use of the Services, the performance of agreements and contracts, as well as the processing of requests and applications from the User;

2.2.4. Improving the quality and usability of Services and developing new Services;

2.2.5. Targeting of promotional material;

2.2.6. Conducting statistical and other studies, based on anonymised data.


3. Terms and conditions for the processing of personal information and its transfer to third parties

3.1. The User's personal data shall be processed in accordance with Federal Law No. 152-FZ "On Personal Data".

3.2. The User's personal information is kept confidential, except when the User voluntarily submits information about himself/herself for general access to an unlimited number of people. By using certain Services, the User agrees that certain parts of their personal information will become publicly available.

3.3. Fitservice has the right to transfer the User's personal information to third parties in the following cases:

3.3.1. The User has consented to such actions;

3.3.2. The transfer is necessary for the User to benefit from a particular Service or to fulfill a particular agreement or contract with the User;

3.3.3. The transfer is provided for under Russian law or other applicable law under a legally prescribed procedure;

3.3.4. In order to enable the protection of the rights and lawful interests of Fitservice or third parties in cases where the User violates this Policy or the documents containing the terms of use of specific Services.

3.3.5. The processing of the User's personal information by depersonalizing it will result in depersonalized statistical data, which will be transferred to a third party to carry out research, carry out work, or provide services on Fitservice's behalf.

3.4. When processing personal data of Users, Fitservice shall be governed by the Federal Law of the Russian Federation on Personal Data for the period prescribed by law and shall transfer such information to the competent authority in accordance with the legally prescribed procedure.


4 Processing of personal information with cookies and counters

4.1. Cookies transmitted by Fitservice to the User's equipment and the User's equipment to Fitservice may be used by Fitservice to provide the User with personalized online services, to target the advertising shown to the User, for statistical and research purposes, and to improve Fitservice's online services.

4.2. The User is aware that the hardware and software it uses to visit websites on the Internet may have the function of disabling cookie operations (for any website or for specific websites) and of deleting previously received cookies.

4.3. Fitservice may stipulate that the provision of a particular service is only possible if the receipt and acceptance of cookies are authorized by the User.

4.4. The structure of the cookie, its content, and technical parameters are determined by Fitservice and are subject to change without prior notice to the User.

4.5. The counters placed by Fitservice on its resources may be used to analyze User cookies, to collect and process statistical information about the use of resources, and to ensure the operability of resources in general or specific functions. The technical parameters of the meters are determined by Fitservice and are subject to change without prior notice to the User.


5. Measures used to protect personal User's information

5.1. Fitservice takes all necessary and sufficient organizational and technical measures to protect the User's personal information from unauthorized or accidental access, destruction, modification, blocking, copying, distribution, as well as from other unlawful actions of third parties with it.


6. Changes to the Privacy Policy. Applicable law

6.1. Fitservice has the right to amend this Privacy Policy. The date of the last update is indicated when the current version has been modified. A new version of the Policy shall take effect as of the date of its posting unless otherwise provided for in the new version of the Policy. 6.2. The laws of the Russian Federation shall apply to this Policy and the relationship between the User and Fitservice arising in connection with the application of this Privacy Policy.
